BankSync – Terms of Use and Global Legal Notice

1. Overview and Scope

These Terms of Use (hereafter referred to as the "Terms") define the legal framework governing the use of the services provided by BankSync (the "Platform"), a secure, cloud-based banking integration and automation solution. BankSync is exclusively distributed by PHOENIX ELEVATE SA.

These Terms apply to all users globally, regardless of jurisdiction, except in regions under embargo or international sanctions.

2. Legal Entities Involved

2.1 Exclusive Distributor: PHOENIX ELEVATE SA

PHOENIX ELEVATE SA is the exclusive distributor of BankSync, handling all commercial, support, and integration activities worldwide.

2.2 Authorized Resellers and Partners

BankSync may be resold by certified partners or subsidiaries within the Phoenix Elevate group, provided they adhere to our partner agreement and compliance obligations.

3. Service Description

BankSync is a cloud-based platform enabling secure, real-time access to financial institution data, including account balances, transactions, payment initiation, and business process automation. Its features are tailored for integration with ERP, BI, and RPA tools.

The Platform is designed to operate in full compliance with applicable financial regulations and is intended for professional or business use only.

4. Access and Eligibility

Use of BankSync is strictly prohibited in countries subject to:

  • European Union sanctions
  • United Nations Security Council sanctions
  • U.S. Department of the Treasury (OFAC) embargoes

We reserve the right to block or suspend accounts from restricted territories.

Users must:

  • Be 18 years or older
  • Provide accurate, current, and complete registration information
  • Maintain the confidentiality of their credentials

5. Privacy, Data Protection, and Hosting

BankSync adheres to global data protection regulations, including but not limited to:

  • General Data Protection Regulation (GDPR – EU)
  • California Consumer Privacy Act (CCPA)
  • Personal Information Protection and Electronic Documents Act (PIPEDA – Canada)
  • UK GDPR and Data Protection Act 2018

We do not store banking credentials. All data is transmitted securely using TLS 1.2 or higher. Authentication is managed via Microsoft Entra ID (formerly Azure Active Directory), and encryption is enforced for all communication.

BankSync undergoes regular third-party security audits, conducted at least once per year. We are also actively pursuing ISO/IEC 27001 certification.

Hosting details:

  • Primary: Microsoft Azure – North Europe (Ireland)
  • Secondary: Microsoft Azure – West Europe (Netherlands)

6. User Responsibilities

Users agree to:

  • Use the Platform lawfully and ethically
  • Refrain from reverse engineering, duplicating, or commercializing the service
  • Inform BankSync of any suspected security breach

BankSync may suspend access without notice if Terms are violated or if legal obligations require immediate action.

7. Licensing and Restrictions

BankSync is licensed as a subscription-based service (SaaS model). By using the service, users acknowledge that:

  • They are granted a non-exclusive, non-transferable license
  • Reselling, sublicensing, or redistributing access requires explicit approval
  • API usage is monitored and may be rate-limited

8. Payment Terms

For paid services, all charges must be settled in the currencies specified on the pricing documentation or commercial agreement. Payment is accepted via credit card, cryptocurrencies, or any other method mutually agreed upon by the parties.

Failure to complete payment will result in the automatic suspension of services. If unpaid for more than 30 days, all data will be permanently deleted without prior notice.

9. Intellectual Property

All elements of the BankSync application are protected by international copyright and trademark law. Unauthorized use or reproduction is prohibited.

10. Service Availability and Support

BankSync aims for 99.9% uptime. Support is provided via:

  • Dedicated client portal
  • Email support
  • Enterprise SLA (optional)

11. Limitation of Liability

BankSync shall not be held liable for:

  • Losses due to third-party API failures
  • Indirect or consequential damages
  • Unauthorized access from user negligence

Total liability is limited to the fees paid in the previous 12 months.

12. Governing Law and Jurisdiction

These Terms are governed by Greek law. The competent courts of Athens shall have exclusive jurisdiction.
